By accessing or using ReachSmart ("Service"), operated by Co-op ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Description of Service

ReachSmart is an outreach automation platform that helps job seekers connect with potential employers through LinkedIn and email. Our Service includes:

  • Automated LinkedIn connection requests and messaging
  • Automated email follow-ups via your connected email account
  • Contact management and tracking
  • Campaign analytics and reporting

3. Account Registration

To use our Service, you must create an account. You agree to:

  • Provide accurate and complete information during registration
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized account access
  • Be at least 18 years of age

4. Third-Party Account Connections

Our Service requires you to connect third-party accounts (LinkedIn, Gmail, or Outlook). By connecting these accounts, you:

  • Authorize us to perform actions on your behalf as described in our Privacy Policy
  • Confirm you have the right to grant such access
  • Understand that we will send messages using your connected accounts
  • Agree to comply with the terms of service of those third-party platforms

5. Acceptable Use

You agree NOT to use our Service to:

  • Send spam, unsolicited bulk messages, or harassing content
  • Violate LinkedIn's or any email provider's terms of service
  • Impersonate others or misrepresent your identity
  • Send false, misleading, or deceptive messages
  • Harvest or collect information about others without consent
  • Interfere with or disrupt our Service or servers
  • Attempt to gain unauthorized access to our systems
  • Use the Service for any illegal purpose

We reserve the right to suspend or terminate accounts that violate these terms.

6. Content and Messages

You are solely responsible for the content of messages sent through our Service. You retain ownership of your content, but grant us a license to process and transmit it as necessary to provide the Service.

We may review content for compliance with these terms but are not obligated to do so. We may remove content that violates these terms without notice.

7. Payment Terms

Certain features of the Service may require payment. By subscribing to a paid plan:

  • You agree to pay all applicable fees
  • Payments are non-refundable unless otherwise stated
  • We may change pricing with advance notice
  • Failure to pay may result in service suspension

8. Intellectual Property

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We do not guarantee any specific results from using the Service, including but not limited to job offers, responses from contacts, or connection acceptances.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Co-op and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these terms, or infringement of any third-party rights.

12. Third-Party Platform Risks

Our Service interacts with third-party platforms (LinkedIn, Gmail, Outlook). You acknowledge that:

  • These platforms may change their terms, APIs, or restrict access at any time
  • Your accounts on these platforms may be subject to restrictions or suspension
  • We are not responsible for actions taken by these platforms against your accounts
  • You are responsible for complying with each platform's terms of service

13. Termination

You may terminate your account at any time by contacting us. We may terminate or suspend your account at any time for any reason, including violation of these terms. Upon termination:

  • Your right to use the Service immediately ceases
  • We may delete your data as described in our Privacy Policy
  • Outstanding payment obligations remain due

14. Changes to Terms

We may update these Terms of Service at any time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
